Сначала покупатель или продавец обращается к фондовому брокеру или коммерческому банку с просьбой купить или продать определенное количество акций какой-либо компании. Брокер/банк соглашается выполнить эту задачу за комиссионное вознаграждение. Затем финансовый посредник дает указание фирме, «делающей» рынок (см. Market maker), купить или продать акции. Фирма, располагающая акциями ряда компаний в зависимости от своей специализации, называет брокеру две цены: более низкую цену покупки (см. Offer price), по которой она согласна купить акции, и более высокую цену продажи (см. Bid price), по которой она готова продать акции. Разница (спрэд) между этими двумя ценами образует ее прибыль. Котируя две цены, фирма, «делающая» рынок, еще ничего не знает о намерениях брокера. Брокер соглашается на покупку/продажу только после того, как удостоверится в конкурентоспособности цен дилера. На этом этапе заключается сделка, и право собственности на акции переходит к покупателю. Наконец, для того чтобы зарегистрировать переход права собственности, фирма, «делающая» рынок, оповещает Регистратора компаний (см. Company registrar) о состоявшейся сделке. Регистратор в свою очередь вносит изменения в реестр (см. Share register), выдает новые сертификаты акций (см. Share certificate) покупателю и аннулирует сертификаты продавца.
